Projects of this sort have been discussed quite a bit on the VRA List.
At CCA we converted a lot of the slide collection with in-house
scans, archival quality outsourcing, and more recently consumer-level
outsourcing.
We created our own image management system using Filemaker, and many
people use VireoCat - https://sites.google.com/site/vcatusers/
Most of our images are also hosted in ARTstor.
As a rule the copyright of a photograph is held by the photographer,
but if the photographer merely copied someone else's photograph, then
the rights issue gets muddier. Generally you would need permission
to digitize slldes that were "published" by another museum.
The concept of fair use tends to fail for images, because the entire
work is copied, even though the use is educational.
